MiCA Disclosure

On May 31, 2023, the European Union enacted Regulation 2023/1114 on Markets in Crypto-Assets (the “MiCA Regulation”). The MiCA Regulation introduces various restrictions of, and requirements applicable to, crypto-asset related activities, such as the issuance of certain crypto-assets or certain services offered in relation to cryptoassets.
On June 30, 2024, the MiCA Regulation restriction on offering “e-money tokens” to the public in the European Union or seeking admission to trading of an e-money token to a crypto-asset trading platform within the European Union became applicable/entered into force. For these purposes, ‘offer to the public’ means a communication to persons in any form, and by any means, presenting sufficient information on the terms of the offer and the crypto-assets to be offered so as to enable prospective holders to decide whether to purchase those crypto-assets.
The GYEN and ZUSD stablecoins issued by GMO-Z.com Trust Company, Inc. constitute “e-money tokens” for purposes of the MiCA Regulation, meaning that the restriction applies to the GYEN and ZUSD stablecoins.
GMO-Z.com Trust Company, Inc. is not authorized as a credit institution under Directive 2013/36/EU or electronic money institution under Directive 2009/110/EC, nor is it exempt from authorization requirements. Further, any white paper published in connection with the GYEN and ZUSD may not satisfy applicable requirements under the MiCA Regulation.
As such, the GYEN and ZUSD stablecoins may not be offered to the public in the European Union, nor may admission to trading of these stablecoins on a crypto-asset trading platform within the European Union be sought.
